Welcome to Clack Baseball, a service operated by C&G Sports LLC ("Clack Baseball," "Company," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the Clack Baseball website, services, communications, game registration tools, player profiles, staff claim tools, statistics features, and related functionality (collectively, the "Services").

By accessing or using the Services, creating an account, registering for a game, joining as staff, or receiving communications from us, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You may use the Services only if you can form a binding agreement under applicable law. By using the Services, you represent that:

• the information you provide is accurate and current;

• you have authority to provide that information;

• you will comply with these Terms and applicable law;

• if you register on behalf of a minor, team, or another participant, you are authorized to do so.

We may refuse service, suspend access, or remove accounts at our discretion where necessary to protect the integrity of the Services, participants, staff, or the public.

2. Nature of Services

Clack Baseball provides tools and communications related to organized baseball activities, including, without limitation:

• player registration and account creation;

• game discovery and signup;

• roster and position assignment;

• staff recruitment and assignment, including umpires and stat staff;

• collection and display of player, game, and season statistics;

• administrative communications, including operational messages, promotions, updates, and cancellations;

• payment processing and registration workflows.

We reserve the right to add, remove, modify, suspend, or discontinue any feature at any time.

3. Account Registration

To access some Services, you may need to create an account. You agree to:

• provide accurate, complete, and current registration information;

• maintain the security of your login credentials;

• promptly update inaccurate or outdated information;

• accept responsibility for activity occurring under your account.

You may not impersonate another person, create misleading accounts, or use another user’s credentials without permission.

4. Player Profiles and Staff Profiles

Users may create player profiles, and some users may also be linked to staff profiles. You understand and agree that:

• player and staff information may be used to operate games, assign roles, communicate opportunities, and maintain records;

• profile information may include preferences such as city, days available, preferred positions, and contact methods;

• staff accounts may require verification, linking, or matching to internal staff records;

• we may correct, reject, or remove inaccurate or duplicate records.

5. Game Registration and Position Claims

Users may register for games and claim roster positions through the Services. By registering, you acknowledge:

• game availability is limited and may change at any time;

• a selected position may be temporarily held during checkout and may be released if payment is not completed;

• a claimed spot is not guaranteed until the registration process is successfully completed and confirmed;

• Clack Baseball may impose limits on registrations, position claims, or participation;

• roster, batting order, team assignment, and related decisions may be administered through the Services or by staff.

We may cancel, modify, reassign, or revoke registrations if necessary to correct errors, resolve disputes, enforce policies, or protect the fairness and operation of a game.

6. Pricing, Discounts, and Payments

Some Services require payment. By submitting payment information or completing a checkout, you agree that:

• you are authorized to use the payment method provided;

• pricing, discounts, and promotional offers are subject to change;

• discounts may be available only through specific links, codes, or conditions;

• all charges are subject to applicable taxes, fees, and payment processor requirements where applicable.

Payments may be processed by third-party providers. We do not store full payment card information unless expressly stated. Your use of payment services may also be subject to third-party terms and policies.

7. Refunds, Credits, and Cancellations

Refunds, credits, transfers, or rescheduling decisions may be offered at our discretion or according to posted policies. Without limiting our rights:

• weather, field conditions, safety concerns, staffing issues, or operational issues may require games to be canceled or changed;

• we may offer credits, partial credits, transfers, or refunds depending on the circumstances;

• promotional pricing or discounted purchases may be subject to additional limitations.

If a game is rained out, postponed, canceled, or otherwise disrupted, Clack Baseball may determine the appropriate remedy in its discretion, subject to applicable law.

8. Communications Consent

By providing your phone number and/or email address and opting in, you consent to receive communications from Clack Baseball. Depending on your selections and relationship with us, these may include:

• game announcements;

• registration confirmations;

• discount or promotional offers;

• staffing opportunities;

• rainout notices;

• schedule changes;

• operational updates;

• account and support-related notices.

Message frequency may vary. Message and data rates may apply for SMS. Consent to receive marketing or promotional communications is not a condition of purchase where prohibited by law. You may opt out of SMS by replying STOP where supported, and may use HELP where supported for assistance. Email communications may contain unsubscribe options where applicable.

You are responsible for ensuring your contact information is accurate and that you are authorized to receive messages at the number or email provided.

9. User Conduct

You agree not to:

• use the Services for unlawful, fraudulent, abusive, harassing, or misleading purposes;

• interfere with or disrupt the Services or related infrastructure;

• attempt unauthorized access to accounts, collections, systems, or data;

• scrape, copy, reverse engineer, or exploit the Services beyond permitted use;

• submit false registrations, staff claims, identities, or payment information;

• use the Services in a way that harms Clack Baseball, other users, staff, or third parties.

We may investigate and take action in response to misuse, including suspension, removal, cancellation of registrations, or legal action.

10. Statistics, Results, and Content Accuracy

The Services may display player statistics, game outcomes, rosters, assignments, and related information. While we strive for accuracy:

• statistics may contain errors, omissions, or delays;

• scorekeeping and lineup data may depend on human input;

• game results, player records, and historical information may be corrected or revised;

• displayed content is provided for general informational and recreational purposes.

Clack Baseball does not guarantee that all stats or records will be complete, accurate, or error-free at all times.

11. Staff Opportunities and Assignments

Clack Baseball may recruit, contact, or assign staff such as umpires and stat personnel. Staff opportunities are subject to availability, qualification, operational needs, and Company discretion. We may:

• contact staff about available games;

• assign or remove staff from a game;

• require staff verification or account linking;

• track staff activity, assignment history, and communication preferences.

Nothing in these Terms creates an employment relationship unless expressly stated in a separate written agreement.

12. Assumption of Risk

Participation in baseball and related athletic activities involves inherent risks, including physical injury, illness, property loss, and other hazards. By registering for, attending, officiating, staffing, or participating in a game or event associated with Clack Baseball, you acknowledge and accept those risks to the fullest extent permitted by law.

These Terms do not replace any separate waiver, release, participant agreement, or event-specific policy you may be required to sign.

13. Health, Safety, and Conduct at Events

Participants, spectators, and staff are expected to behave responsibly and respectfully. We may remove, suspend, or refuse participation to anyone who:

• acts dangerously, violently, abusively, or disruptively;

• appears impaired or unfit to participate;

• violates event rules, staff instructions, or safety requirements;

• endangers others or the operation of the event.

14. Intellectual Property

The Services, including site design, branding, logos, workflows, text, graphics, software, and compiled data, are owned by or licensed to C&G Sports LLC and protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit our content except as permitted in writing.

15. User Content

If you submit reviews, feedback, ratings, profile details, comments, or other content, you grant Clack Baseball a non-exclusive, worldwide, royalty-free license to use, store, display, reproduce, and process that content for operation and improvement of the Services, subject to applicable law and our Privacy Policy.

You represent that you have the right to submit any content you provide and that it does not violate law or third-party rights.

16. Third-Party Services

The Services may rely on or integrate with third-party providers, including:

• payment processors;

• messaging platforms;

• email tools;

• hosting and website platforms;

• analytics or support providers.

We are not responsible for the independent acts, omissions, policies, or availability of third-party services.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT:

• THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE;

• REGISTRATIONS, PAYMENTS, MESSAGES, OR CLAIMS WILL ALWAYS PROCESS SUCCESSFULLY;

• STATS, ROSTERS, OR GAME DATA WILL ALWAYS BE COMPLETE OR ACCURATE;

• THE SERVICES WILL ALWAYS BE AVAILABLE AT ANY PARTICULAR TIME.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, C&G SPORTS LLC AND ITS OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, FOR THE APPLICABLE SERVICE GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

19. Indemnification

You agree to defend, indemnify, and hold harmless C&G Sports LLC and its affiliates, personnel, and representatives from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising from or related to:

• your use of the Services;

• your violation of these Terms;

• your conduct at or relating to games or events;

• your violation of law or third-party rights.

20. Termination

We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if we believe you violated these Terms, created risk, or interfered with the operation of the Services.

You may stop using the Services at any time. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnity, and dispute-related provisions.

21. Privacy

Your use of the Services is also governed by our Privacy Policy. Please review it carefully.

22. Changes to Terms

We may update these Terms from time to time. Updated versions become effective when posted unless otherwise stated. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

23. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law rules, except to the extent superseded by applicable federal law.

24. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services will first be addressed through good-faith informal efforts to resolve the matter. If a dispute cannot be resolved informally, the parties agree to pursue resolution in the state or federal courts located in Texas, unless applicable law requires otherwise.

You and C&G Sports LLC consent to personal jurisdiction and venue in those courts.

25. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

26. Entire Agreement

These Terms, together with any posted policies and the Privacy Policy, constitute the entire agreement between you and C&G Sports LLC regarding the Services, except where additional written agreements apply.
